Gold Bull Increases Non-Brokered Private Placement up to a Maximum of $6 million

VANCOUVER, British Columbia, Nov. 10, 2021 (GLOBE NEWSWIRE) — Gold Bull Resources Corp. (TSX-V: GBRC) (“Gold Bull” or the “Company”) is pleased to announce that it is increasing its non-brokered private placement, that was previously announced on November 1, 2021, from 15,000,000 units (the “Units”) to a maximum of 30,000,000 Units at a price of $0.20 per Unit to raise gross proceeds of up to C$6,000,000 (the “Private Placement”).
Each Unit will consist of one common share and one-half common share purchase warrant (each whole being a “Warrant”). Each Warrant will entitle the holder to acquire an additional common share for $0.30 for a period of twenty-four months from the date of closing of the Private Placement.
Proceeds of the Private Placement will be used for continued exploration and general working capital.
The securities to be issued under the Private Placement will be offered by way of private placement in each of the provinces of Canada and such other jurisdictions as may be determined by the Company, in each case, pursuant to applicable exemptions from the prospectus requirements under applicable securities laws.
The Private Placement is scheduled to close on or about November 20, 2021, and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the approval of the TSX Venture Exchange.
The Units to be issued under the Private Placement will have a hold period of four months and one day from Closing. The Company may pay finder’s fees or commissions on a portion of the Private Placement, subject to compliance with the policies of the TSX Venture Exchange and applicable securities legislation.
