NOT FOR DISTRIBUTION TO U.S. NEWSWIRE SERVICES OR FOR DISSEMINATION IN THE UNITED STATESTORONTO, Oct. 22, 2019 (GLOBE NEWSWIRE) — Hampton Financial Corporation (“Hampton” or the “Corporation”) (TSXV: HFC) (TSXV: HFC.PR.A) is pleased to announce a non-brokered private placement offering (the “Offering”) of up to 1,750,000 subordinate voting shares in the capital of the Corporation (each, a “Share”). Each Share will be offered at a price of $0.20 CAD per Share for aggregate gross proceeds of up to $350,000 CAD.The proceeds from the Offering will be used for working capital and general corporate purposes.All securities issued pursuant to the Offering will be subject to a four-month hold period. The Offering is subject to a number of customary conditions, including, without limitation, approval by the TSX Venture Exchange (“TSXV”).Investors in the Offering are expected to include certain insiders of the Corporation (collectively, “Insider Purchasers”). The participation of Insider Purchasers will constitute a “related party transaction” for purposes of Multilateral Instrument 61-101 ― Protection of Minority Security Holders in Special Transactions (“MI 61-101”) and Policy 5.9 ― Protection of Minority Security Holders in Special Transactions of the TSXV. The Corporation expects to rely on exemptions from the formal valuation and minority approval requirements available under MI 61-101 as neither the fair market value of the subject matter of, nor the fair market value of the consideration for, the Offering, insofar as it involves interested parties, is expected to exceed 25% of the Corporation’s market capitalization.
