Leading Proxy Advisory Firms ISS and Glass Lewis Recommend Dream Global Real Estate Investment Trust Unitholders Vote to Approve Blackstone Acquisition
TORONTO, Oct. 31, 2019 (GLOBE NEWSWIRE) — DREAM GLOBAL REAL ESTATE INVESTMENT TRUST (TSX: DRG.UN FRA: DRG, “Dream Global REIT” or the “REIT”) announced today that two leading independent proxy advisory firms, Institutional Shareholder Services, Inc. (“ISS”) and Glass, Lewis & Co., LLC (“Glass Lewis”), have both recommended that unitholders of the REIT (“Unitholders”) vote FOR the special resolution (the “Transaction Resolution”) at the upcoming special meeting (the “Meeting”) of Unitholders.
The purpose of the Meeting is to approve the proposed transaction pursuant to which affiliates of real estate funds managed by The Blackstone Group Inc. (“Blackstone”) will acquire all of Dream Global REIT’s subsidiaries and assets in an all-cash transaction valued at $6.2 billion (the “Transaction”). On closing of the Transaction, Unitholders will receive cash consideration of $16.79 per unit of Dream Global REIT (the “Units”), as described in the Management Information Circular of the REIT dated October 13, 2019 (the “Circular”) prepared in connection with the Meeting. The Transaction also requires a separation of Dream Asset Management Corporation (“DAM”) (a subsidiary of Dream Unlimited Corp.) from its role as external asset manager to the REIT.In making its recommendation that Unitholders vote in favour, ISS stated:1 “The proposed Transaction appears to make sense as unitholders will be able to liquidate their positions at all-time high unit prices, with the all-cash consideration providing certainty of value.”In making its recommendation that Unitholders vote in favour, Glass Lewis stated:1“…we see that the proposed transaction implies an adjusted one-day market premium that falls in-line with premiums paid in comparable European property transactions (17.1% vs 17.1%) and a premium to ERPA NAV that falls well above premiums/discounts paid in those transactions (8.0% versus -1.2%). Likewise, the proposed transaction implies an adjusted one-day market premium that falls in-line with premiums paid in comparable Canadian property transactions (17.1% vs 17.4%) and a premium to analyst consensus NAV that falls well above premiums/discounts paid in those Canadian transactions (13.9% versus 10.7%).”“…we believe the proposed transaction is reasonable and in the best interests of shareholders. Accordingly, we recommend that shareholders vote FOR this proposal.”The Transaction has the unanimous support of a Special Committee of independent trustees of the REIT (the “Special Committee”).
